Terms and Conditions
This Agreement is made between Seniorsexing.com, herein referred to as "Seniorsexing." and its members, herein referred to as "Member(s)".

1. As a Member, I understand and agree that:

a. I shall comply with all applicable federal, state, county, province, and municipal laws, ordinances, rules, and regulations, and shall make all reports and remit all withholdings or other deductions as may be required by any federal, provincial, state, county or municipal law, ordinance, rule or regulation;

b. I will perform my obligations as a Member with honesty and integrity;

c. I will follow all policies and procedures established by Seniorsexing.com for the completion and processing of all purchases and orders;

d. I shall not use or display any trademarks, trade names, service marks, logos, designs or symbols that are not provided by Seniorsexing.com unless I have received prior written permission from Seniorsexing.com ;

e. I agree that, as a Member, I am an independent contractor and not an employee, agent, partner, legal representative or franchisee of Seniorsexing.com . I am not authorized to and will not incur any debt, expense, obligation, or open any checking account on behalf of, for, or in the name of Seniorsexing.com . I agree that I shall be solely responsible for paying all expenses incurred by myself. I understand that I shall not be treated as an employee of Seniorsexing.com  for any governmental body, federal, state, or provincial taxes or any other purposes.

f. I have carefully read and agree to comply with this Agreement. I understand that this Agreement may be amended from time to time, and I agree that any such amendment will apply to me. Notification of amendments shall be published in Seniorsexing.com  official materials and sent to all Members or be posted on this website. The continuation of my Member status shall constitute my acceptance of any and all amendments.

2. The term of this agreement is one month, and it shall be renewed automatically, unless terminated by Seniorsexing.com or by me. If this agreement is canceled or terminated for any reason, I understand that I will permanently lose all rights as Member. Seniorsexing.com  expressly reserves the right to terminate all Member agreements upon thirty (30) days written notice in the event that it elects to:

a. Cease business operations; or

b. Dissolve as a business entity.

3. I may not assign any rights under this agreement without the prior written consent of Seniorsexing.com . Any attempt to transfer or assign this agreement without the written consent of  Seniorsexing.com renders this agreement void at the option of Seniorsexing.com  and may result in termination of my Member status.

4. I understand that if I fail to comply with the terms of this agreement, Seniorsexing.com  may, at its discretion, terminate my Member status.

5. This agreement constitutes the entire contract between and me. Any promise, representation, offer or other communication not set forth in this agreement is not in effect. To the extent of any conflict between this agreement and any other agreement, this agreement shall supersede and prevail over any term of any other agreement as to the matters addressed herein.

6. Any waiver by Seniorsexing.com  of any breach of this agreement must be in writing and signed by an authorized officer of Seniorsexing.com . Waiver by Seniorsexing.com of any breach of this agreement by me shall not operate or be construed as a waiver of any subsequent breach.

7. In the event that a provision of this agreement is held by a competent court to be invalid or unenforceable, such provision shall be construed and reformed only to the extent necessary to make it enforceable and the balance of the agreement shall remain in full force and effect.

8. This agreement will be governed by and construed in accordance with the laws of The State of California. Â Those laws shall govern all disputes and claims relating to Seniorsexing.com  or the Member Agreement. Any claims or causes of action relating to the performance of either an independent Member or shall be settled by arbitration in such location as Seniorsexing.com  prescribes. If a Member files a claim or counterclaim against Seniorsexing.com , he/she shall do so on an individual basis and not with any other Member or as part of a class action. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. This agreement to arbitrate shall survive any termination or expiration of the Agreement.

9. The parties consent to jurisdiction before the courts of the State of California for purposes of enforcing an award by an arbitrator or any other matter not subject to arbitration.

10. Successors and Assignees. This agreement binds and benefits the heirs, successors, and assignees of the parties.

11. Notices. All notices must be in writing. A notice may be delivered to a party at the address that follows a party's signature or to a new address that a party designates in writing. A notice may be delivered:

a. in person;

b. By certified mail; or

c. by overnight courier.

12. Waiver. If one party waives any term or provision of this agreement at any time, that waiver will only be effective for the specific instance and specific purpose for which the waiver was given. If either party fails to exercise or delays exercising any of its rights or remedies under this agreement, that party retains the right to enforce that term or provision at a later time.

13. Seniorsexing.com  vigorously opposes UCE (Unsolicited Commercial E-Mail) and SPAM. Members are strictly prohibited from using any unsolicited marketing efforts that leads the prospect to the website.
